Rules for using Audifact — billing, the immutable ledger, beta expectations, and dispute resolution.

1. Agreement
These Terms of Service ("Terms") govern access to Audifact at https://audifact.io (the "Service"). The Service is operated by 8th Floor Retail Inc., a Wyoming corporation ("we", "us", or "our").
By creating an account, purchasing a subscription or Event Credits, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Effective date: 15 July 2026.
2. Beta service
The Service is currently offered as a beta. Features, limits, pricing, and availability may change. We may add or remove functionality with reasonable notice where practicable (for example, by email or a notice on the site).
The Service is provided on an as-is and as-available basis during beta. We do not guarantee uninterrupted operation, specific uptime, or that the Service will meet every use case.
3. What Audifact is — and is not
Audifact is an append-only, hash-chained event ledger for AI agent decisions and outcomes. You can record events via our API and SDKs, verify integrity independently (Explorer, verify API, snapshots), and share proof links for individual events.
We are not an insurance provider, warranty of agent performance, compliance certification, legal advisor, or substitute for your own security, governance, or regulatory programs. Verification tools are designed to help detect tampering with recorded chain data; they do not guarantee that your systems cannot be compromised or misused.
4. Eligibility
If you use the Service as an individual, you must be at least 13 years old. If you are under 18 (or the age of majority where you live), you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
If you purchase a paid subscription or Event Credits, you must be at least 18 (or the age of majority in your jurisdiction), or be using an organization account where an authorized adult accepts these Terms on behalf of the organization.
You may not use the Service if you are barred under applicable law or if we have suspended or terminated your account.
5. Accounts and security
You are responsible for your account credentials, API keys, and all activity under your account. Keep keys confidential and rotate them if compromised. Notify us promptly at support@audifact.io if you suspect unauthorized access.
You must provide accurate registration information and keep it reasonably up to date.
6. Events, public data, and your content
You control what you submit to the Service. Event payloads may include summaries you designate as public (for example, public_decision_label and public_outcome_label) as well as private data accessible only under your API key and organization.
Public and proof views may display event hashes, sequence numbers, timestamps, agent identifiers, verification metadata, and any public summaries you submit — without requiring a login. Do not submit secrets, credentials, or personal data you do not intend to expose.
You retain ownership of content you submit. You grant us a limited license to host, process, display, and verify that content solely to operate and improve the Service.
7. Immutable ledger and account closure
The Service is built as an immutable audit ledger. Events appended to the chain are not deleted as part of normal operation, because removal would break tamper-evident verification.
To close an account, email support@audifact.io. We will disable login and API access, cancel active subscriptions where applicable, and anonymize or delete account-identifying information (such as your name and email) where feasible.
Hash-chained event records and customer-submitted event content may remain retained after closure for integrity, fraud prevention, and legal compliance. See our Privacy Policy for details.
8. Fees, billing, and refunds
Trial: new accounts receive 100,000 events and 30 days to explore the Service at no charge unless otherwise stated. No credit card is required to sign up for the trial.
Subscriptions: Starter — $49/month (500,000 events per billing period); Pro — $299/month (5,000,000 events per billing period). Subscriptions renew automatically until canceled.
Event Credits (one-time packs): 100k Event Credits — $29; 500k Event Credits — $119; 1M Event Credits — $219. Credits apply to your account per the Credits page and do not automatically renew.
Payments are processed by Stripe. We do not store full payment card numbers. Taxes may apply where required by law.
- Subscriptions: fees are generally non-refundable for the current or any prior billing period once charged, except where required by law or for billing errors and duplicate charges at our discretion.
- Event Credits: non-refundable once purchased, except for billing errors or duplicate charges.
- Cancel subscriptions through the Stripe Customer Portal (linked from your Credits page) or by contacting support. Cancellation stops future charges; access and metering follow the product behavior shown in your dashboard at the time of cancel.
- During beta, if you believe you were charged in error, contact support@audifact.io and we will work with you in good faith to resolve it.
9. Acceptable use
- Comply with applicable laws and these Terms.
- Do not abuse the API (excessive automated scraping of the Service, credential stuffing, or attempts to disrupt integrity verification).
- Do not submit malware, unlawful content, or material that infringes others' rights.
- Do not misrepresent the Service as insurance, a regulatory approval, or a guarantee of agent outcomes.
- Do not resell or sublicense API access without our written permission.
10. Intellectual property
We own the Service, software, branding, documentation, and site content, except for content you submit. Audifact and related marks are our property or our licensors'. These Terms do not grant you any right to use our trademarks except as needed to use the Service.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be error-free, uninterrupted, or that recorded events will satisfy any particular regulatory, trading, or legal requirement without your own independent assessment.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) US $100 OR (B) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law. Nothing in these Terms limits liability that cannot be limited under applicable consumer protection law.
13. Indemnity
You will defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law — except to the extent caused by our gross negligence or willful misconduct.
14. Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service (with notice where reasonable).
Sections that by their nature should survive (fees owed, disclaimers, limitation of liability, indemnity, dispute resolution, and governing law) survive termination.
15. Changes to these Terms
We may update these Terms from time to time. We will post the revised Terms on this page and update the effective date. Material changes may also be communicated by email or through the Service. Continued use after changes become effective constitutes acceptance.
16. Dispute resolution and arbitration
Before filing a claim, contact support@audifact.io and allow a reasonable opportunity to resolve the dispute informally.
Except for disputes that qualify for small claims court or injunctive relief for intellectual property or unauthorized access, any dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the seat in Wyoming, United States, or by remote hearing if permitted by the rules.
Class actions: you and we agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class or representative proceeding, to the extent permitted by law.
Nothing in this section limits rights that cannot be waived under mandatory consumer or data protection laws in your country of residence.
17. General
Governing law: these Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules, except where mandatory local law applies.
We may assign these Terms in connection with a merger, acquisition, or sale of assets, or if we change the operating entity for the Service (for example, a future dedicated subsidiary). You may not assign your account without our consent.
If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver.
These Terms and the Privacy Policy are the entire agreement regarding the Service.
